Terms of Service

1. Who we are

The seller is Ship Refund — our legal business name, which we also trade under. These Terms of Service ("Terms") form an agreement between you and Ship Refund ("Ship Refund", "we", "us"). Ship Refund provides software and services that audit FedEx and UPS billing invoices and file service-guarantee and billing-correction claims on your behalf (the "Service"). When you use the Service, you are contracting with Ship Refund, not with Paddle, FedEx or UPS.

2. Acceptance

By accessing or continuing to use the Service, you agree to these Terms. If you use the Service on behalf of a company, you confirm you have authority to bind that company. If you do not agree, do not use the Service.

3. Your account and information

You must provide accurate business, contact and carrier account information and keep it up to date. You are responsible for keeping your login credentials confidential and for all activity under your account.

4. Carrier authorization

When you authorize us, we review your carrier invoices and submit disputes to FedEx and/or UPS in your name. Approved refunds are credited by the carrier directly to your carrier billing account. Ship Refund never receives, holds or controls your refund money. Whether a claim is approved is decided solely by the carrier, and we do not guarantee any particular recovery amount.

5. Acceptable use

You must not misuse the Service. In particular, you must not:

  • use the Service for any unlawful purpose or to submit false or fraudulent claims;
  • send spam or impersonate any person or business;
  • upload content that infringes anyone's intellectual property or privacy rights;
  • introduce malware, probe or test the Service's security, or scrape or overload the Service;
  • reverse engineer, resell or redistribute the Service, or get around its technical limits.

6. Intellectual property

Ship Refund owns the Service and all related software, documentation, reports, branding and other intellectual property. We give you a limited, non-exclusive, non-transferable right to use the Service under your chosen plan. You keep ownership of the invoice data you upload, and you allow us to process it only to provide the Service.

7. Plans, payments and taxes

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.

Payment, billing, renewal, tax, cancellation and refund terms for purchases are governed by Paddle's Buyer Terms. The Fixed Pro plan is a monthly subscription that renews automatically until cancelled. The Performance plan charges a contingency fee of 20% of carrier credits that have been verified on your carrier statement. See our Refund Policy for details.

8. Service availability

We work to keep the Service reliable, but we do not promise that it will be uninterrupted, error-free or always available. To the fullest extent the law allows, the Service is provided "as is", without implied warranties of merchantability or fitness for a particular purpose.

9. Limitation of liability

To the fullest extent the law allows, Ship Refund is not liable for indirect, consequential or special losses (such as lost profits, data or goodwill), and our total liability is limited to the fees you paid us in the 12 months before the claim. Nothing here limits liability for fraud, death or personal injury where the law does not allow it.

10. Suspension and termination

We may suspend or end your access if you materially breach these Terms, fail to pay, create a security or fraud risk, or repeatedly or seriously break our policies. You may stop using the Service at any time. When access ends, we may delete your data after a reasonable period unless the law requires us to keep it.

11. Changes and contact
